Sterling Financial Holdings Company Shares Update

1/ What exactly does the announcement mean

Sterling Financial Holdings Company Plc has completed a 10-for-1 share consolidation.

In simple terms: every 10 existing shares become 1 new share.

But this does NOT mean shareholders have lost 90% of their investment.

Here’s how it works 👇🏾

2/ What happens to your shares?

If you owned:

10,000 Sterling Holdings shares, it has become 1,000 shares

5,000 shares ==>> 500 shares

1,000 shares ==>> 100 shares

Your number of shares reduces by 90%, but the value of each share is theoretically multiplied by 10.

So the value of your investment remains essentially unchanged immediately after the consolidation.

3/ Why do companies consolidate shares or do a reverse stock split?

A share consolidation doesn't magically make a company more valuable.

It simply reduces the number of shares outstanding and increases the nominal/trading price per share.

Sterling is moving from approximately:

68.5 billion shares ==>> 6.85 billion shares.

About 61.65 billion shares are effectively cancelled through the consolidation.

4/ Share Price has increased.

Sterling was trading at ₦7.7 before the consolidation.

After the consolidation, it will be trading at ₦77

If you had 10,000 shares:

Before 10-for-1 consolidation:

10,000 × ₦7.7 = ₦77,000

After 10-for-1 consolidation:

1,000 shares × ₦77 = ₦77,000

Same investment value.

The important thing is to understand that fewer shares does not automatically mean less money.

5/ Your ownership percentage doesn't change.

If you owned 0.01% of Sterling before the consolidation, you still own 0.01% after the consolidation.

The company isn't taking away your ownership simply because your share count has reduced.

Everyone's share count is being adjusted proportionally.

6/ So why should investors not worry?

Because the consolidation changes the price and share structure, not the underlying business.

The things that ultimately determine whether Sterling becomes a good investment remain:

- Revenue Growth

- Profitability

- Dividends

Etc

And ultimately, how much the business is worth compared to its competitors

Don't confuse a higher share price with a more valuable company.

7/ Here is another reason this is important.

Sterling Holdings has also been pursuing a capital raise of up to US$400 million.

The consolidation creates a cleaner share structure and a much higher nominal share price, which can be useful as the company positions itself for its next phase of growth and capitalisation.

So this reverse stock split isn't happening in isolation.

8/ What about the NGX suspension?

Trading on the NGX was suspended from September 23, 2026, to allow the exchange and company to reconcile shareholders' records and implement the new share structure.

The exercise was expected to run for about 10 working days, with trading expected to resume today October 7th 2026

So if you were wondering why to could not buy or sell Sterling stock, this is the reason.
